Terms and Conditions of Business

Effective Date: 23rd March 2026

These Terms and Conditions (“Terms”) govern the relationship between Stable Payment Solutions Limited (company number 16441647) (“Stable”, “we”, “us”, or “our”) and any business customer or prospective customer (“Client”, “you”, or “your”) engaging with us in relation to financial services introductions and related support.

1. Scope of Services

1.1 Stable acts as an introducer and intermediary only. We do not provide regulated financial services directly unless expressly stated.

1.2 We introduce Clients to selected third-party providers for the following services:

  • Foreign exchange and international payments via:
    • Equals Money Plc
    • Finseta Ltd
    • Ebury Partners UK Ltd
  • Commercial lending and finance brokerage via:
    • Spark Finance Ltd
  • Card acquiring and digital storefront technology via:
    • Stored Tech Ltd
  • Treasury and cash investment solutions via:
    • TreasurySpring Ltd

1.3 Any agreement for services is entered into directly between you and the relevant provider, not with Stable.

1.4 The list of providers and services in Clause 1.2 is not exhaustive and alternative providers or additional services may be added from time to time.

2. Our Role

2.1 Stable’s role is limited to:

  • Identifying potential providers suitable for your business needs
  • Facilitating introductions and sharing relevant information (subject to your consent)
  • Assisting with onboarding processes where appropriate
  • Providing general commercial insight and guidance

2.2 Stable does not:

  • Provide investment, legal, tax, or accounting advice
  • Act as principal, agent, or counterparty in any transaction
  • Execute transactions on your behalf

3. Third-Party Providers

3.1 Each provider operates under its own:

  • Terms and conditions
  • Regulatory permissions
  • Pricing and fee structures

3.2 You are responsible for reviewing and agreeing to those terms before proceeding.

3.3 Stable accepts no liability for:

  • The performance, service quality, or solvency of any provider
  • Any losses arising from your use of third-party services

4. Fees and Remuneration

4.1 Stable’s services are typically provided at no upfront cost to you.

4.2 We may receive commission, referral fees, or other remuneration from providers, including:

  • FX and payments providers
  • Lenders or finance brokers
  • Technology and acquiring partners
  • Treasury platforms

4.3 Such remuneration:

  • Does not usually increase the price you pay
  • May be contingent on you entering into an agreement or completing a transaction

5. Client Responsibilities

You agree to:

5.1 Provide accurate, complete, and up-to-date information.

5.2 Conduct your own independent assessment of:

  • Providers
  • Pricing
  • Risks

5.3 Seek professional advice where appropriate.

5.4 Comply with all applicable laws and regulations, including anti-money laundering requirements.

6. Data Protection and Confidentiality

6.1 Stable will process personal and business data in accordance with applicable data protection laws, including the UK GDPR.

6.2 By engaging with us, you consent to us:

  • Sharing relevant information with selected providers
  • Receiving information from those providers regarding your application or account

6.3 We will take reasonable steps to protect your data but cannot guarantee the security of data transmitted to third parties.

7. Limitation of Liability

7.1 To the fullest extent permitted by law, Stable shall not be liable for:

  • Indirect or consequential losses
  • Loss of profits, revenue, or business opportunities
  • Losses arising from third-party services

7.2 Our total liability (if any) shall be limited to £10,000 or the amount of fees received by Stable in relation to the relevant Client in the preceding 12 months, whichever is lower.

7.3 Nothing in these Terms excludes liability for:

  • Fraud or fraudulent misrepresentation
  • Death or personal injury caused by negligence

8. No Warranty

8.1 All information provided by Stable is on an “as is” basis.

8.2 We make no warranties regarding:

  • The suitability of any provider
  • The availability or performance of services
  • The accuracy of third-party information

9. Conflicts of Interest

9.1 Stable may have commercial relationships with multiple providers.

9.2 We aim to act in your best interests but do not operate as an independent whole-of-market adviser.

9.3 A conflict of interest policy is available upon request.

10. Term and Termination

10.1 These Terms apply from first engagement and continue unless terminated.

10.2 Either party may terminate the relationship at any time without notice.

10.3 Termination does not affect:

  • Any agreements you have with third-party providers
  • Any accrued rights or obligations

11.2 As Stable acts as an introducer, complaints relating to services provided by third parties should be directed to the relevant provider.

12. Regulatory Status

12.1 Stable Payment Solutions Limited is not authorised or regulated by the Financial Conduct Authority for the provision of regulated financial services.

12.2 Certain services offered by third-party providers may be regulated by the FCA or other regulatory bodies.

13. General

13.1 These Terms constitute the entire agreement between the parties in relation to Stable’s services.

13.2 If any provision is found unenforceable, the remaining provisions shall remain in effect.

13.3 These Terms are governed by the laws of England and Wales.

13.4 The courts of England and Wales shall have exclusive jurisdiction.
